Terms of Service

Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zèya mobile application (the "App"), our website at zeyaapp.com, and related services (collectively, the "Services"). The Services are operated by Zèya Global Inc., headquartered at 936 SW 1st Ave, Suite 436, Miami, FL 33130, United States ("Zèya," "we," "us," "our").

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Please read Section 21 carefully. It contains an agreement to resolve most disputes through individual arbitration, with a right to opt out, and a class action waiver.

  1. What Zèya Is

  1. What Zèya Is

Zèya is a marketplace where people can swap items with other users, buy items with cash, and sell their own items. Zèya also provides tools that may include offers, in-app chat, optional identity verification, optional item authenticity verification, a wallet and payment features, optional delivery, AI-assisted listings, reporting, and moderation.

Zèya does not own, buy, sell, store, or take possession of items listed by users, and is not a party to any swap, sale, or purchase between users. Zèya does not guarantee that any transaction will be completed.

Any agreement relating to a swap, sale, purchase, or exchange between users is solely between the users involved. Zèya facilitates payment processing through Stripe, as described in Section 10. Where we offer delivery, we arrange it through independent third-party carriers (see Section 12). Zèya is not a carrier.

Zèya’s live marketplace features are currently offered only to eligible users in the United States. The App may be available for download or limited preview in other regions, but such availability does not grant access to marketplace accounts, listings, messaging, transactions, or other restricted features. Geographic availability and eligibility are further described in Sections 2 and 25.

  1. Eligibility

  1. Eligibility

To create an account, access the live marketplace, or participate in transactions through Zèya, you must:

  • Be at least eighteen (18) years of age;

  • Be legally capable of entering into a binding agreement;

  • Be an eligible user located in the United States and satisfy any applicable U.S. residency, identity, payment, or verification requirements imposed by Zèya or its service providers;

  • Not have been permanently banned from the Services;

  • Not be subject to applicable U.S. sanctions or other legal restrictions that prohibit your use of the Services; and

  • Comply with these Terms and all applicable laws.

Zèya collects date-of-birth information during account registration to confirm that users meet its minimum age requirement. Where applicable, identity verification may also be performed through Didit or other authorized verification providers.

The live marketplace is currently intended for eligible users in the United States. Zèya may restrict account creation, transactions, payment features, shipping, or other functionality based on geographic location, eligibility, verification status, applicable laws, or the requirements of third-party service providers.

Users outside the United States may be permitted to download the App or access a limited informational preview where available. Such access does not authorize participation in the live marketplace or any restricted features.

Temporary travel outside the United States does not automatically terminate an otherwise eligible user’s account. However, Zèya may restrict access to particular features while a user is outside a supported location, subject to applicable law and platform requirements.

The Services are intended for personal use. Use of the Services as a business, reseller, or for bulk or automated listing requires Zèya’s prior written consent.

Zèya reserves the right to deny registration, require additional verification, restrict features, suspend accounts, or terminate access where reasonably necessary to enforce these eligibility requirements, maintain platform security, prevent fraud, or comply with applicable law.

  1. Account Registration and Security

  1. Account Registration and Security

You must create an account to access certain features of the Services.

You agree to:

  • Provide accurate and complete information;

  • Keep your account information updated;

  • Keep only one account, unless we allow more; and

  • Maintain the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account. If you suspect unauthorized use of your account, you must notify us immediately at support@zeyaapp.com.

We may ask you to verify your email, phone number, payment method, or identity at any time to protect your account and other users. We may suspend or terminate accounts that appear compromised or are used in violation of these Terms.

3.1 Marketing Communications

Zèya may offer users the option to receive newsletters, promotional offers, and other marketing communications.

Where required by applicable law, users must separately consent to receive these communications. Agreement to these Terms does not, by itself, constitute consent to receive marketing emails.

Users may unsubscribe from promotional emails at any time using the unsubscribe link provided in those messages. Zèya may continue sending necessary service-related communications, including account, transaction, security, and legal notices.

  1. User Content and Item Listings

  1. User Content and Item Listings

4.1 Your Content

“User Content” includes item listings, photos, videos, descriptions, messages, reviews, profile information, and any other materials you submit through the Services.

You represent and warrant that:

  • You own or have the rights to the content you post and to the items you list;

  • Your listings are accurate and describe the item’s condition, defects, and authenticity honestly;

  • Your photos show the actual item, and are your own or you have the right to use them; and

  • Your listings do not violate applicable laws or third-party rights.

You retain ownership of your User Content. You grant Zèya a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt, display, and distribute your User Content as reasonably necessary to operate, maintain, and improve the Services.

Photographs and other content submitted through optional third-party item verification services may be subject to additional ownership and licensing provisions, as described in Section 9.2. Your use of these services may grant the applicable provider rights in the submitted materials.

You also grant Zèya permission to use your publicly available listings, item photographs, and other content you intentionally make public through the Services to promote and market Zèya.

Private messages and other non-public communications will not be used for promotional or marketing purposes. Zèya may process such communications for safety, moderation, fraud prevention, dispute resolution, and other purposes described in these Terms and our Privacy Policy.

Zèya may remove or restrict User Content that violates these Terms or creates risks for the platform.

4.2 AI-Assisted Listings

Zèya uses automated technology, including artificial intelligence, to review item listings and analyze photographs uploaded by users. This technology may suggest listing information, including titles, categories, descriptions, item conditions, and prices.

Photographs used for listings are provided by users. Zèya’s AI-assisted listing features do not generate replacement photographs of listed items.

By using these features, you authorize Zèya and its service providers to process your photographs and listing information for the purposes described in our Privacy Policy.

AI-generated suggestions may be inaccurate or incomplete and do not constitute professional appraisals or pricing advice. Users are responsible for reviewing and correcting suggested information before publishing a listing and for ensuring that all listed items comply with Zèya’s policies.

  1. Prohibited Items and Conduct

  1. Prohibited Items and Conduct

5.1 Allowed Items

You may only list items that are allowed on Zèya. Our Prohibited and Restricted Items rules, available in our Help Center, form part of these Terms. If these Terms and those rules conflict, those rules control for the question of which items are allowed.

5.2 What You Must Not Do

You agree not to use the Services to:

  • List illegal, stolen, counterfeit, recalled, unsafe, or otherwise prohibited items;

  • Post misleading, fraudulent, or harmful content, or misrepresent an item;

  • Harass, threaten, stalk, discriminate against, or abuse other users;

  • Attempt to bypass safety features, moderation, reporting, verification, or enforcement systems, including by creating new accounts after a suspension or ban;

  • Submit false, altered, or misleading photos or items for verification, or misuse a verified badge or certificate of authenticity;

  • Arrange or complete transactions outside the Services to avoid fees or protections;

  • Use another person's information, or use information you learn about another user for anything other than completing a transaction with them;

  • Use the Services for commercial purposes without our written consent;

  • Scrape, reverse engineer, use bots, or interfere with the Services.

  • Write, solicit, buy, sell, or exchange fake or misleading reviews or ratings;

  • Offer or accept anything of value in return for a review or rating, including items, cash, credits, discounts, or a reciprocal review;

  • Write a review about your own account, an account you control, or a transaction you were not part of;

  • Threaten or pressure another user to change or remove a review.

5.3 Listing Review

We may review listings using automated tools and human review. If a listing is refused, you can edit it and submit it again. If it is refused a second time, please check the Prohibited and Restricted Items rules in our Help Center. You can contact us to ask why a listing was refused. If you believe your item is allowed, tell us and we will take another look.

Zèya may remove listings or restrict accounts where content or conduct violates these Terms or creates risk to the community. See Section 13 for strikes, suspensions, and bans.

  1. Swaps, Offers, Purchases, and Sales

6.1 Swaps and Offers

Users may send, accept, decline, and counter offers through the Services. Offers may include:

  • Item-for-item swaps;

  • Bundled items;

  • An item plus cash ("+Cash" or "cash difference");

  • A cash offer to buy an item outright, without offering an item in return; and

  • Other offer structures presented in the App.

6.2 Buying and Selling

Users may buy and sell items for cash or exchange items through swaps using the Services.

For cash purchases, a binding agreement between the buyer and seller is formed when the seller accepts the buyer's offer through the App.

For item-for-item swaps, a binding agreement is formed when both users accept the proposed exchange through the App.

Users may cancel transactions in accordance with the cancellation procedures and applicable restrictions described in the App. Cancellation may affect payment holds, refunds, or delivery obligations, as described in Sections 10 and 12.

Zèya facilitates transactions between users but is not a party to the underlying agreement between them.

6.3 Item Values

Zèya may allow users to assign estimated values to items, and our tools may suggest values. Values are estimates, not appraisals. They are informational only and are not professional valuation, appraisal, or pricing advice. Zèya does not guarantee the accuracy or fairness of any displayed value.

6.4 Time Windows and Offer Limits

Offers may require action within a displayed time window. Zèya may apply feature limits (including offer limits) based on account status, trust signals, usage patterns, or subscription plan.

6.5 Completing a Transaction

After an offer is accepted, users must follow the steps provided in the App to complete their transaction.

Users are responsible for fulfilling their obligations under the accepted transaction, including arranging an agreed-upon in-person exchange or completing any applicable shipping requirements.

Users are expected to confirm completion of the swap, sale, or purchase in accordance with the transaction process displayed in the App, subject to any applicable automatic completion rules described below.

Certain transactions are subject to automatic completion, payment, cancellation, or expiration rules. These rules depend on the transaction type, the users’ locations, and whether users confirm completion. The applicable timeframes and conditions are displayed in the App and in our Help Center before and during the transaction. Where a transaction involves payment, funds will be charged, held, released, or returned in accordance with those rules and Section 10.

6.6 No Guarantees and No Liability for User Transactions

Users are responsible for evaluating the value, condition, authenticity, and legality of items involved in any transaction. Zèya offers optional third-party item authentication through Entrupy, as described in Section 9.2, but does not independently authenticate items or guarantee the accuracy of authentication results. Users are responsible for exercising reasonable diligence when evaluating items and completing transactions, subject to any rights or remedies available under applicable law.

To the fullest extent permitted by law, Zèya is not responsible for losses, damages, injuries, fraud, or disputes arising from user-to-user interactions, swaps, sales, or exchanges. This does not limit any right you have under Section 10.8 or any consumer right that cannot be waived under applicable law.

  1. In-Person Exchanges and Safety

If users choose to meet in person to complete an exchange, they do so at their own risk. Zèya recommends meeting in public, well-lit places, bringing a friend where possible, inspecting items before handing over anything of value, and keeping communication and payment inside the App.

Zèya is not responsible for the conduct of users or for any injuries or damages that occur during in-person exchanges. If you feel unsafe, leave and contact local emergency services.

  1. Chat, Moderation, and Safety Tools

Zèya provides in-app messaging to facilitate communication and transactions between users. We respect user privacy while maintaining monitoring and moderation measures designed to promote platform safety, prevent fraud and abuse, enforce these Terms, investigate reports and disputes, and comply with legal obligations.

Messages exchanged through the Services may be monitored using automated systems on an ongoing basis. Authorized Zèya personnel may also access and review communications for safety, quality control, fraud prevention, investigations, and other purposes described in our Privacy Policy.

Although Zèya takes steps to protect user communications, messages exchanged through the Services are not private from Zèya and may be accessed or reviewed for these purposes, subject to applicable law.

Zèya does not sell user messages or share their content with third parties for marketing purposes.

Users agree not to use Zèya's messaging features to:

  • Harass, threaten, intimidate, or abuse other users;

  • Share fraudulent, misleading, or illegal content;

  • Arrange transactions outside the platform to avoid applicable fees or protections; or

  • Send spam or unsolicited commercial messages.

Zèya may remove content, restrict messaging privileges, suspend accounts, or take other appropriate action when users violate these Terms or engage in harmful conduct.

Although Zèya uses moderation and safety measures, we cannot guarantee that every harmful or unlawful communication will be identified or prevented. Users remain responsible for their interactions and are encouraged to report suspicious or inappropriate conduct through the App's reporting tools.

  1. Verification

9.1 Identity Verification

Zèya offers optional identity verification to promote user trust, platform safety, and fraud prevention. Verification is conducted through our third-party identity verification provider, Didit.

Users who choose to complete verification submit a government-issued identification document and a live selfie. Didit reviews the identification document and compares the selfie to the identification photograph to verify the user's identity and age.

Zèya does not store identification documents or selfie images on its own servers. This information is processed and stored by Didit on Zèya's behalf. Zèya may access verification information when necessary for safety, fraud prevention, or legal purposes, as described in our Privacy Policy.

Where required by applicable law, users will receive additional notices and be asked to provide consent before biometric information is collected or processed.

Users who successfully complete identity verification may receive a verified badge on their profiles. This badge indicates only that the user has completed Zèya's verification process. It does not guarantee the user's honesty, reliability, conduct, or the authenticity or quality of any item offered through the Services.

Identity verification is generally optional. However, sellers receiving payouts may be required to complete additional identity checks through Stripe, our payment service provider.

9.2 Item Verification (Zèya Verify)

Zèya may offer optional item verification ("Zèya Verify") for eligible listings. Item verification is performed by Entrupy, Inc. ("Entrupy"), an independent third-party authentication provider. Zèya Verify may also be made available for eligible items involved in cash purchase offers, subject to availability and the eligibility requirements displayed in the App. Eligible categories, brands, and items are determined by Entrupy and may change at any time. Usage limits and any applicable fees will be displayed in the App before you start a verification.

How it works. Your photos and related item information are submitted to Entrupy for analysis. Under Entrupy's applicable terms, Entrupy claims ownership of images submitted through its system and of authentication materials generated by the system. Where such ownership does not legally apply, Entrupy may receive broad licensing rights to those materials. See Entrupy's applicable terms and privacy policy for further information.

Results. A result of "Authentic" indicates that the item appears consistent with Entrupy's profile of known authentic items at the time of verification. A result of "Unidentified" indicates that Entrupy did not identify the item as consistent with that profile; it does not conclusively establish that the item is counterfeit. Neither Zèya nor Entrupy guarantees the accuracy of any authentication result, and neither shall be liable for losses arising from an inconclusive result to the extent permitted by applicable law. Entrupy may also return a result indicating that an item is not supported for verification, or that a submission was incomplete or could not be processed. Results other than "Authentic" are displayed only to the seller.

Verified badge and certificate. Items verified as Authentic may display a verified badge and an Entrupy Certificate of Authenticity issued in Zèya's name. You may use the badge and certificate only for the exact item that was verified and only for personal, non-commercial purposes. You may not modify, copy, or transfer a certificate to another item, or use it for any item you know or suspect is not authentic. Entrupy may revoke a certificate at any time, and Zèya may remove a badge or certificate at any time, including if a certificate is revoked or misused.

Your responsibilities. You agree to submit only genuine, unaltered photos of the actual item being verified. You must not tamper with serial numbers, date codes, labels, or other identifiers, or attempt to manipulate or obtain a false result. You must not include personal information in photographs submitted for verification, including documents, labels, or other images showing identifying details about yourself or any other person. Misuse of item verification may result in action under Section 13.

Authentication Guarantees and Disputes. Item verification is currently offered on a trial basis, and no financial guarantee applies to items verified through the Services. Neither Zèya nor Entrupy provides reimbursement or any other remedy in respect of an authentication result.

If you believe an item verified as Authentic is counterfeit or otherwise misrepresented, you may report the issue through the App. Zèya may investigate and determine an appropriate resolution under Section 10.8, subject to applicable law. Authentication results do not constitute an independent financial guarantee by Zèya, and nothing in this Section limits any consumer rights or remedies that cannot lawfully be excluded.

Limits of verification. A verified badge reflects Entrupy's assessment of authenticity only. It does not confirm an item's condition, value, materials, or that it is unaltered, and is not a guarantee by Zèya. Verification of jewelry is limited to an assessment of the piece itself and does not include testing of stone authenticity, grading or measurement of gemstones, authentication of loose stones or unbranded jewelry, metal composition testing, or validation of third-party reports. It does not account for changes made after manufacture, including repairs, resizing, or replaced components. Entrupy is not affiliated with or endorsed by the brands it authenticates, and brands may not honor Entrupy certificates.

  1. Wallet, Payments, and Fees

10.1 Payments Are Optional and Feature-Dependent

Some transactions support payments, including cash purchases and swaps involving a cash difference ("+Cash"), while others may not. Payment features may vary depending on location, account status, transaction type, and other applicable conditions.

10.2 Payment Provider

Payments, payment holds, and payouts are processed through Stripe Connect Express ("Stripe"), a third-party payment service provider. Stripe holds and transfers user funds. Zèya does not hold user funds in its own bank accounts and is not a bank.

Sellers must complete Stripe's account setup and verification requirements to receive payouts. By setting up a payout account, sellers agree to Stripe's applicable terms and conditions.

Zèya facilitates transactions between users but is not a party to the underlying agreement between a buyer and seller. Zèya decides refunds and handles payment disputes as described in Sections 10.7 and 10.8. Stripe's terms and applicable payment card network rules also apply.

10.3 Zèya Wallet

The Zèya Wallet allows users to view Seller Earnings, promotional Credits, and related transaction activity within the App, as described in Section 10.4.

Funds associated with transactions are processed and held through Stripe, subject to applicable payment processing requirements. Once a transaction is completed and the applicable conditions are satisfied, the receiving seller's Seller Earnings are reflected in their Zèya balance. Seller Earnings remain in the balance until the seller requests a withdrawal, subject to applicable availability periods, verification requirements, payment restrictions, and other conditions displayed in the App. Withdrawals are processed through Stripe.

Payout availability, minimum amounts, processing times, and restrictions may vary depending on Stripe's requirements, verification status, and other applicable conditions. Zèya does not guarantee any particular payout timeframe.

Zèya does not independently insure or guarantee wallet balances. Any protection applicable to funds processed or held through Stripe is governed by the relevant payment arrangements and applicable law.

10.4 Seller Earnings and Promotional Credits

The Zèya Wallet displays two distinct categories: Seller Earnings and Credits.

Seller Earnings: Seller Earnings represent monetary amounts attributable to completed sales or swaps involving cash, subject to applicable fees, refunds, chargebacks, disputes, payment holds, and other authorized adjustments. Eligible Seller Earnings are payable through Stripe, subject to applicable account setup, identity verification, payment processing requirements, and transaction conditions.

Seller Earnings do not expire and are not subject to maintenance or inactivity fees. Earnings remain available for withdrawal, and we will send reminders if a balance goes unclaimed. If an account is closed or deleted with a remaining balance, the Earnings remain owed to the user and may be claimed by contacting support. Where Earnings remain unclaimed for the period required by applicable unclaimed property law, we will report and deliver them to the relevant state authority, where they may still be claimed. Zèya does not retain unclaimed Earnings.

Credits: Promotional, referral, and similar credits issued by Zèya have no cash value and cannot be withdrawn, transferred, or exchanged for cash. Credits may only be used toward eligible transactions, fees, or features within the Services, as further described in Section 11.

Users cannot deposit or add money to the Zèya Wallet using a payment card, bank transfer, or other external funding method. Seller Earnings arise only from eligible transactions completed through the Services.

Seller Earnings cannot currently be used to fund purchases or other transactions within the Services. Eligible Credits may be applied toward transactions and features in accordance with Section 11.

The Zèya Wallet is an interface for displaying Seller Earnings, Credits, and related activity. It is not a bank account or a general-purpose account into which users may deposit money. Payment processing and payouts are facilitated through Stripe, as described in Section 10.2.

10.5 Authorization Holds and Conditional Release

When a transaction involves payment, Stripe may authorize or hold funds until the applicable transaction conditions are satisfied.

Funds are released according to the transaction process displayed in the App and Stripe's applicable payment processing requirements.

If a transaction is canceled, disputed, incomplete, or suspected of involving fraud, the release of funds may be delayed, restricted, or adjusted in accordance with Section 10.8 and applicable law.

Zèya does not guarantee the immediate authorization, availability, or release of funds.

10.6 Fees

Zèya may charge fees for certain Services, including service, transaction, processing, delivery, verification, or promotional fees.

Any applicable fees will be disclosed before users authorize the relevant payment or action. Users are responsible for reviewing applicable charges before completing a transaction. Current fees, including which party is responsible for paying them, are described in the App and in our Help Center.

Zèya may introduce, modify, or discontinue fees, subject to applicable law and any required notice.

10.7 Refunds, Voids, and Cancellations

Users may cancel transactions in accordance with the procedures provided in the App. Available cancellation options and their consequences depend on the transaction's status, including whether an offer has been accepted, payment has been authorized, or the transaction has been completed. Once self-service cancellation is no longer available, users may be required to contact Zèya Support for assistance or to report an issue.

Zèya determines whether refunds, voids, or payment reversals are appropriate under its applicable policies and procedures, subject to applicable law.

Refunds and reversals are processed through Stripe and remain subject to Stripe's terms and applicable payment card network rules.

Cancellation does not automatically guarantee a refund. Any authorized or held funds will be handled according to the applicable cancellation procedures and payment processing requirements.

10.8 Holds, Investigations, and Dispute Resolution

If a transaction does not proceed as expected, including circumstances involving non-delivery, items that differ from their descriptions, suspected fraud, or disputes between users, Zèya may investigate the transaction and determine an appropriate resolution.

During an investigation, Zèya may, to the extent permitted by applicable law and payment processing requirements:

  • Request that Stripe delay or restrict the release of funds;

  • Review relevant communications, offers, listings, photographs, delivery information, reports, and payment records;

  • Request additional information or evidence from the users involved;

  • Assist users in reaching a resolution; and

  • Determine whether funds should be released, refunded, returned, or otherwise adjusted.

Zèya decides refunds and handles payment disputes arising through the Services. Stripe handles applicable payment processing and card network procedures, including chargebacks. Stripe's terms and applicable payment card network rules also apply.

Zèya aims to resolve disputes fairly but does not guarantee a particular outcome or resolution timeline. Decisions regarding disputed funds remain subject to applicable law, Stripe's requirements, and users' rights under applicable payment network rules.

Timeframes for reporting a problem, and the conditions for returns where they apply, are described in the App and in our Help Center.

Users agree to cooperate in good faith during investigations. Fraudulent claims, misuse of the dispute process, or deliberate falsification of evidence may result in account restrictions or other actions under Section 13.

Where a swap involves no payment through the Services, Zèya has no funds to hold, and the remedies described in this Section do not apply. Users are responsible for inspecting items before completing a swap in person. Zèya may still take action against an account under Section 13, but cannot recover or return an item.

10.9 Taxes

Users are responsible for determining and paying any taxes arising from their use of the Services, including taxes associated with sales, swaps, exchanges, and payouts.

Transactions conducted through the Services, including barter exchanges, may be taxable under applicable law.

Zèya does not provide tax advice and does not calculate, collect, or remit taxes on behalf of users unless required by law. Users should consult their own tax advisors regarding their obligations.

10.10 No Escrow or Fiduciary Relationship

Zèya facilitates payment transactions through Stripe, an independent third-party payment service provider, as described in Section 10.2. Zèya does not receive or hold user funds in its own bank accounts.

The use of the Zèya Wallet, payment holds, conditional releases, or payout features does not, by itself, create an escrow, fiduciary, or trust relationship between Zèya and any user.

Payment processing, holds, releases, and payouts are subject to Stripe's applicable terms, the transaction conditions described in these Terms, and applicable law.

Nothing in this Section excludes or limits any legal duties, financial obligations, or protections that apply to Zèya or its users under applicable law.

  1. Credits and Promotions

Zèya may offer promotional credits, referral rewards, and other incentives (collectively, "Credits") through the Services. Program details, eligibility requirements, restrictions, and expiration dates will be displayed in the App or the applicable promotion's terms.

Unless otherwise required by applicable law:

  • No Cash Value: Credits have no cash value and cannot be sold, transferred, withdrawn, or exchanged for cash.

  • Permitted Uses: Credits may only be used toward eligible transactions, fees, shipping, promotional boosts, and +Cash within the Services. Credits cannot be used to purchase Zèya+ subscriptions.

  • Application of Credits: Eligible Credits are applied in the following order: fees, shipping, boosts, and then +Cash.

  • Expiration: Credits may expire on the date specified in the applicable promotion. Expired Credits cannot be restored unless required by law.

  • Eligibility: Certain Credits may become available only after a waiting period or completion of specified conditions, such as a qualifying swap or referral.

  • Fraud and Misuse: Zèya may withhold, suspend, reverse, or cancel Credits obtained through fraud, abuse, self-referrals, multiple accounts, or violations of these Terms.

  • Program Changes: Zèya reserves the right to modify, suspend, or discontinue promotional programs at any time, subject to applicable law and the terms of the relevant promotion. Previously earned Credits remain subject to their original expiration dates and applicable restrictions.

  • Taxes: Users are responsible for any taxes arising from promotional rewards, except where applicable law requires otherwise.

Specific promotions are governed by their own terms, which are published on the applicable promotion's landing page. Those terms set out the eligibility requirements, expiration dates, and other conditions for that promotion. Please review them before participating.

Additional terms may apply to specific referral, ambassador, or promotional programs. Cash compensation provided through ambassador arrangements is governed by separate agreements and is not treated as promotional Credits under these Terms.

12. Zèya Delivery

Where available, Zèya Delivery allows users to ship items to one another through independent third-party delivery providers and carriers. Zèya facilitates shipping arrangements, including shipping labels and tracking information, but is not a carrier and does not physically handle, store, transport, or deliver items.

By using Zèya Delivery, you agree to:

  • Provide accurate and complete shipping information, including names, addresses, and phone numbers, which may be shared with third-party delivery providers and carriers to facilitate shipment;

  • Ship only items permitted under Zèya's Prohibited and Restricted Items rules and the applicable carrier's policies;

  • Properly package and secure items for shipment;

  • Use the shipping label provided through the Services and follow applicable shipping instructions;

  • Ship items within the timeframe displayed in the App; and

  • Comply with applicable carrier requirements and shipping laws.

Users are responsible for preparing, packaging, and shipping their items in accordance with the instructions provided through the Services. Failure to comply with these requirements may result in shipment delays, cancellation, or other actions permitted under these Terms.

Shipping fees, available delivery locations, estimated delivery times, and any applicable shipping protections or restrictions will be disclosed through the App or applicable delivery terms.

Tracking information and delivery estimates are provided by third-party carriers and may be delayed, incomplete, or inaccurate. Zèya does not guarantee delivery dates or uninterrupted tracking availability.

If an item is lost, damaged, delayed, or not received, users should report the issue through the App and follow the applicable claims or dispute procedures. Zèya may review relevant shipment information and assist in resolving disputes under Section 10.8.

If users arrange shipping outside Zèya Delivery, they are responsible for those arrangements and any resulting claims against the carrier.

To the fullest extent permitted by applicable law, Zèya is not responsible for the acts or omissions of third-party carriers, including shipping delays, lost or damaged packages, or delivery failures. Nothing in this Section limits any rights or remedies that cannot be excluded under applicable law.

  1. Strikes, Suspensions, and Bans

To maintain a safe and trustworthy marketplace, Zèya may take enforcement action when users violate these Terms, our Prohibited and Restricted Items rules, or other applicable platform policies.

Depending on the nature and severity of the violation, Zèya may take one or more of the following actions:

  • Issue a warning;

  • Remove or restrict listings or other content;

  • Issue a strike against a user's account;

  • Restrict access to certain features, including listings, messaging, offers, or payouts;

  • Temporarily suspend an account; or

  • Permanently ban an account.

Three-Strike Policy. Zèya generally follows a three-strike enforcement system. A user who accumulates three strikes may be permanently banned from the Services. Strikes remain on a user's account indefinitely unless removed by Zèya following a review.

Severe Violations. Zèya may immediately suspend or permanently ban an account without prior warnings or strikes for serious violations, including fraud, illegal or dangerous items, counterfeit goods, harassment, or conduct that threatens the safety of users or the integrity of the Services.

Ban Evasion. Users who have been permanently banned may not create new accounts to circumvent enforcement measures. To detect and prevent spam, fraudulent activity, and attempts to evade restrictions, Zèya may use IP addresses, device identifiers, verification information, and other relevant signals, subject to applicable law and our Privacy Policy. Users who have completed identity verification may not use the same identification document to verify a second account.

Notice and Appeals. When Zèya restricts, suspends, or terminates an account, or removes or restricts content, Zèya will provide notice and an explanation of the action where required by applicable law. Notice may be limited or withheld where legally permitted or required, including when disclosure would compromise safety, fraud prevention, an investigation, or compliance with legal obligations.

Users who believe an enforcement decision was made in error may request a review through the in-app Help and Support feature or by contacting support@zeyaapp.com. Appeals are reviewed by authorized Zèya personnel, subject to applicable legal requirements.

Pending Transactions, Seller Earnings, and Credits. If an account is suspended or permanently banned, Zèya may cancel or restrict pending transactions, investigate related activity, and request payment holds or adjustments through Stripe, subject to applicable law and payment processing requirements.

Seller Earnings attributable to completed transactions remain the seller's funds and are not forfeited solely because of an account suspension or permanent ban. Zèya may request a temporary hold on payouts during an investigation or dispute, subject to Stripe's requirements and applicable law. Following resolution, funds will be released, refunded, or otherwise handled in accordance with applicable payment obligations. Seller Earnings remain subject to applicable fees, refunds, chargebacks, and legally authorized adjustments.

Promotional Credits are issued by Zèya without purchase and have no cash redemption value. Zèya may suspend, cancel, or forfeit Promotional Credits following a permanent ban, subject to Section 11, the terms of the applicable promotion, and mandatory legal protections.

Zèya reserves the right to determine appropriate enforcement measures based on the circumstances of each violation, subject to applicable law.

14. Zèya+ (Subscription)

Zèya may offer an optional paid subscription plan ("Zèya+") with additional features or benefits in the future.

If Zèya+ becomes available, the following terms will apply:

  • Subscription pricing, billing frequency, and included features will be disclosed before purchase.

  • Subscriptions may renew automatically unless canceled through the applicable Apple App Store or Google Play subscription settings.

  • Subscription fees are non-refundable except where required by applicable law or the relevant app store's policies.

  • Zèya may modify subscription pricing, features, or benefits, subject to applicable law and any required notice.

Additional subscription terms may be provided when Zèya+ becomes available.

15. Intellectual Property

The Services, including Zèya's trademarks, logos, designs, software, and other proprietary content, are owned by Zèya Global Inc. or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, Zèya grants you a limited, personal, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, for your own personal, non-commercial use.

You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or otherwise exploit any part of the Services without Zèya's prior written permission, except as permitted by applicable law.

Users retain ownership of their own content, subject to the license granted to Zèya under Section 4.1.

Copyright Infringement and Reporting. Zèya respects the intellectual property rights of others and expects users to do the same. If you believe that content available through the Services infringes your copyright, you may submit a written notice identifying the allegedly infringing material and the copyrighted work involved.

To the extent applicable, copyright infringement notifications should comply with the requirements of the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512(c)(3), including:

  • A physical or electronic signature of the copyright owner or an authorized representative;

  • Identification of the copyrighted work claimed to have been infringed;

  • Identification of the allegedly infringing material and sufficient information for Zèya to locate it;

  • Contact information reasonably sufficient for Zèya to reach the complaining party;

  • A statement that the complaining party has a good-faith belief that the disputed use is not authorized by the copyright owner, its representative, or applicable law; and

  • A statement that the information in the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.

Zèya may remove or disable access to allegedly infringing material and may suspend or terminate accounts of users who repeatedly infringe intellectual property rights, in accordance with applicable law and Zèya's enforcement policies.

Counter-Notifications. Users whose content has been removed or disabled following a DMCA notification may submit a counter-notification in accordance with 17 U.S.C. § 512(g). Where applicable, Zèya will follow the statutory notice and restoration procedures.

Designated Copyright Agent. Notifications of claimed copyright infringement and counter-notifications under the Digital Millennium Copyright Act may be directed to Zèya's designated copyright agent:

Telephone: 407-792-9562

Zèya's designated copyright agent is registered with the U.S. Copyright Office under Registration No. DMCA-1084004.

Zèya reserves all rights not expressly granted under these Terms.

16. Third-Party Services and Links

The Services may integrate with or provide access to third-party services, including Stripe for payment processing, Didit for identity verification, Entrupy for item authenticity verification, shipping and delivery providers, artificial intelligence tools, and the Apple App Store and Google Play.

These third-party services operate under their own terms, conditions, and privacy policies. By using these services through Zèya, you may be subject to the applicable third-party terms.

Zèya does not control the independent operations of third-party providers and, to the fullest extent permitted by applicable law, is not responsible for their acts, omissions, service interruptions, or failures.

Nothing in this Section limits Zèya's responsibilities expressly described elsewhere in these Terms, including its role in handling refunds and payment disputes under Section 10, or any obligations that cannot be excluded under applicable law.

17. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how Zèya collects, uses, stores, and shares personal information, including messages, identity verification data, photographs, wallet and payment information, and delivery details.

Please review our Privacy Policy to understand how your information is handled and what rights and choices may be available to you under applicable law.

18. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Zèya disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Zèya does not guarantee that the Services will be uninterrupted, secure, error-free, or available at all times, or that any transaction will be successfully completed.

Zèya does not guarantee the accuracy, authenticity, legality, condition, quality, or value of items listed by users. Users are responsible for evaluating items and transactions before completing an exchange, purchase, or sale.

Item verification results are provided by a third-party provider and reflect that provider's assessment at the time of the check. Zèya does not independently guarantee any verification result, badge, or certificate.

AI-assisted listing information, including suggested descriptions, categories, and prices, is provided for informational purposes only and may be inaccurate or incomplete. Such suggestions do not constitute professional advice or appraisals.

Zèya does not guarantee the availability, reliability, or performance of independent third-party services, including payment processors, identity verification providers, and delivery carriers.

Some jurisdictions do not permit certain warranty disclaimers or limitations of consumer rights. Nothing in this Section excludes any warranty, right, or protection that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Zèya Global Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or relating to:

  • Your use of or inability to use the Services;

  • User-generated content, listings, offers, swaps, sales, purchases, or exchanges;

  • The condition, authenticity, quality, legality, or value of items listed or exchanged by users;

  • Interactions, communications, or disputes between users;

  • Shipping delays, lost or damaged items, or other acts or omissions of independent delivery providers;

  • Unauthorized access to or use of the Services, data breaches, technical failures, or service interruptions;

  • Errors or inaccuracies in AI-assisted listing suggestions;

  • Item verification results, badges, or certificates provided through third-party providers; or

  • Payment processing, holds, payouts, refunds, chargebacks, or other payment-related disputes, subject to Zèya's responsibilities under Section 10.

To the fullest extent permitted by applicable law, Zèya's total aggregate liability for claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  1.  The amount you paid directly to Zèya during the twelve (12) months preceding the event giving rise to the claim; or

  2. One hundred U.S. dollars (US$100).

Nothing in this Section excludes or limits Zèya's liability for fraud, gross negligence, willful misconduct, death or personal injury caused by Zèya's negligence, or any other liability that cannot lawfully be excluded or limited.

The limitations in this Section do not eliminate Zèya's express responsibilities concerning refunds and payment disputes under Section 10 or any mandatory consumer protection, privacy, statutory, or other legal rights and remedies available under applicable law.

Where applicable law prohibits or restricts a limitation of liability, that limitation will apply only to the extent permitted by such law.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Zèya Global Inc. and its officers, directors, employees, and agents from and against third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, to the extent arising out of or resulting from:

  • Your misuse of the Services or violation of these Terms;

  • Your User Content, including listings, photographs, descriptions, and other materials you submit, where such content infringes third-party rights or violates applicable law;

  • Your swaps, purchases, sales, deliveries, payments, or other transactions with users, to the extent the claim arises from your acts or omissions;

  • Your violation of applicable laws or regulations; or

  • Your infringement or violation of another person's intellectual property, privacy, or other legal rights.

This indemnification obligation applies only to the extent permitted by applicable law and does not require you to indemnify Zèya for claims or losses attributable to Zèya's own negligence, fraud, gross negligence, willful misconduct, or other conduct for which indemnification is prohibited by law.

Nothing in this Section limits any consumer rights or protections that cannot lawfully be waived.

21. Dispute Resolution, Arbitration, and Class Action Waiver

21.1 Informal Dispute Resolution

Before initiating formal legal proceedings, you agree to contact Zèya at support@zeyaapp.com or Zèya Global Inc., 936 SW 1st Ave, Suite 436, Miami, FL 33130, and provide a description of your dispute and the resolution you are seeking.

Both parties agree to attempt to resolve the dispute in good faith within thirty (30) days after receiving notice, unless applicable law permits you to proceed without completing this process.

21.2 Binding Individual Arbitration

If a dispute cannot be resolved informally, you and Zèya agree that, except as otherwise provided in this Section or prohibited by applicable law, disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration on an individual basis rather than in court.

Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. Arbitration fees and costs will be allocated in accordance with the applicable AAA Consumer Arbitration Rules and fee schedule, including the provisions governing business and consumer fees, except where applicable law requires a different allocation.

This arbitration agreement does not apply where mandatory consumer protection laws prohibit requiring arbitration or otherwise preserve your right to bring a claim before a court.

21.3 Class Action Waiver

To the fullest extent permitted by applicable law, you and Zèya agree to bring claims against one another only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

This waiver does not apply where prohibited by applicable law or where you have a non-waivable right to participate in a class, collective, or representative action.

Nothing in this class action waiver prohibits a party from seeking public injunctive relief where the right to seek such relief cannot lawfully be waived. The availability and forum for such relief shall be determined in accordance with applicable law and the remaining provisions of this Section.

21.4 Exceptions

Either party may bring an eligible individual claim in small claims court.

Either party may seek appropriate court relief concerning the infringement or misuse of intellectual property rights.

Nothing in this Section prevents a user from pursuing remedies or accessing courts, regulatory authorities, or other dispute resolution procedures where those rights cannot be waived under applicable law.

Nothing in this arbitration agreement prevents a party from seeking public injunctive relief in a court of competent jurisdiction where the right to seek that relief in court cannot lawfully be waived. To the extent permitted by applicable law, any arbitrable claims may proceed separately, and court proceedings concerning non-arbitrable relief may be stayed pending arbitration.

21.5 Right to Opt Out

You have the right to opt out of the binding arbitration provisions of this Section by providing written notice to Zèya within thirty (30) days after the date you first accept these Terms.

To exercise this right, you may email legal@zeyaapp.com with the subject line “Arbitration Opt-Out” or send written notice to Zèya Global Inc., 936 SW 1st Ave, Suite 436, Miami, FL 33130, United States. Your notice must include your full name, the email address associated with your Zèya account, and a clear statement that you wish to opt out of the arbitration provisions of these Terms.

An opt-out notice will be effective if it is sent within the thirty (30)-day period and substantially complies with the requirements above. Zèya will not require any specific form or additional payment to exercise this right.

If you validly opt out, neither you nor Zèya will be bound by the arbitration provisions of this Section for disputes covered by your opt-out. All other provisions of these Terms will remain in effect.

If you do not opt out within the applicable period, the arbitration provisions will remain binding to the extent permitted by applicable law.

Nothing in this Section limits any rights or remedies that cannot lawfully be waived, including rights to pursue claims before courts or regulatory authorities where required by applicable law.

21.6 Mandatory Consumer Rights and Applicable Law

This arbitration agreement is intended to be interpreted and enforced in accordance with the Federal Arbitration Act, 9 U.S.C. § 1 et seq., to the extent applicable.

Nothing in this Section requires arbitration of a claim that applicable federal law or other controlling, non-waivable law prohibits from being subjected to predispute arbitration.

Nothing in this Section waives or restricts any substantive consumer right, statutory remedy, or right to seek public injunctive relief that cannot lawfully be waived.

Where a particular claim or remedy cannot lawfully be resolved through the arbitration procedures described in this Section, that claim or remedy may proceed in a court of competent jurisdiction, while the remaining arbitrable matters shall continue in arbitration to the extent permitted by applicable law.

21.7 Severability

If any provision of this Section is found invalid or unenforceable, that provision will be limited or severed to the extent permitted by applicable law, and the remaining provisions will continue in effect, except where applicable law requires otherwise.

22. Termination

You may stop using the Services at any time and may request to delete your account through the App or by contacting support@zeyaapp.com.

Account deletion may be subject to the completion of pending transactions and applicable legal, financial, and operational obligations.

Zèya may suspend, restrict, or terminate your account if you violate these Terms, engage in fraudulent or prohibited conduct, or otherwise create risks to the Services or other users, as described in Section 13.

Where appropriate and required by law, Zèya may provide notice of account restrictions or termination.

Following termination, pending transactions may be canceled, completed, or subject to review. Any remaining transaction funds will be handled in accordance with Section 10, Stripe's applicable terms, and applicable law.

Promotional Credits may be forfeited upon account termination, subject to Section 11, the applicable promotional terms, and applicable law.

Provisions that by their nature are intended to survive termination, including payment obligations, intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution, will remain in effect to the extent permitted by law.

23. Changes to These Terms

Zèya may update these Terms from time to time to reflect changes in the Services, business operations, legal requirements, platform policies, or other legitimate operational needs.

Routine updates to the Services, including bug fixes, interface improvements, and feature enhancements that do not materially amend these Terms or otherwise trigger a legal notice requirement, may be implemented without advance notice under this Section.

If Zèya makes material changes to these Terms, we will provide at least fifteen (15) days' advance notice through the App, by email, or through other reasonable means, unless a longer notice period or additional requirements apply under applicable law.

Where required by applicable law, Zèya will obtain affirmative consent to revised Terms before the changes become binding. Continued use of the Services will constitute acceptance of revised Terms only to the extent that applicable law permits such acceptance and users have received legally sufficient notice.

Changes may take effect sooner where permitted or required by applicable law, including changes necessary to address security threats, fraud, legal obligations, or urgent operational risks.

We will identify the effective date of revised Terms. Changes will not retroactively eliminate accrued rights or obligations except to the extent permitted by applicable law and a legally enforceable agreement.

If you do not agree to revised Terms, you may stop using the Services and request account deletion, subject to pending transactions and applicable legal or financial obligations.

24. Governing Law and Venue

Except as otherwise provided in this Section or required by applicable law, these Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

Notwithstanding the foregoing, Zèya Global Inc. is a Florida corporation. Matters concerning Zèya's incorporation, corporate existence, internal affairs, corporate governance, and the rights and obligations of its directors, officers, and shareholders in their corporate capacities shall be governed by the laws of the State of Florida, to the extent applicable. These Terms do not alter the law governing Zèya's internal corporate affairs.

Nothing in these Terms shall deprive a consumer of any non-waivable right, remedy, or protection under the laws of the state in which the consumer resides or any other law that applies notwithstanding the parties' contractual choice of law.

Subject to Section 21 (Dispute Resolution, Arbitration, and Class Action Waiver), any dispute not subject to arbitration shall be brought in the state or federal courts located in Miami-Dade County, Florida, to the extent such venue is permissible under applicable law. Where applicable law prohibits enforcement of this venue provision or provides a consumer with a non-waivable right to proceed in another jurisdiction, those mandatory requirements shall control.

Nothing in this Section limits any right to pursue a claim in small claims court or to seek judicial relief as expressly permitted under Section 21.

25. United States Availability and Geographic Restrictions

Zèya's live marketplace is currently offered only to eligible users in the United States. Marketplace functionality, including account creation, listings, messaging, offers, swaps, purchases, sales, payments, and delivery features, is subject to geographic eligibility requirements and applicable restrictions.

Zèya may make the App available for download outside the United States or offer a limited informational preview in certain regions. Such availability does not constitute an offer of live marketplace services in those locations or authorize users to access restricted features.

Zèya may use technical, administrative, and account verification measures to determine eligibility and restrict access to unsupported features or locations. Users may not circumvent geographic restrictions or misrepresent their location or eligibility to obtain access.

Availability of particular features may vary within the United States based on applicable laws, payment provider requirements, shipping availability, verification status, transaction type, or other operational considerations.

Zèya reserves the right to modify geographic availability, restrict particular features, or expand into additional regions, subject to applicable law and any required notices or consents.

Nothing in this Section limits any right or legal obligation arising under laws that apply independently of the geographic availability of the live marketplace.

26. United States Availability and Geographic Restrictions

Marketplace functionality, including account creation, listings, messaging, offers, swaps, purchases, sales, payments, and delivery features, is subject to geographic eligibility requirements and applicable restrictions.
